DrvnOS Terms of Service
Effective Date: October 6, 2026 Last Updated: October 25, 2026
These Terms of Service ("Terms") govern your access to and use of the DrvnOS website, web application, portal, and related bookkeeping and back-office services (collectively, the "Service") provided by Devin Gregory Thompson ("DrvnOS," "we," "us," or "our"). Please read these Terms carefully. They are written in plain English on purpose — we want you to understand what you are agreeing to.
1. Acceptance of Terms
By creating an account, clicking "I agree," paying the setup fee, or otherwise accessing or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference.
If you are entering into these Terms on behalf of a company or other legal entity (for example, your trucking business), you represent that you have the authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
If you have also signed a DrvnOS Engagement Letter, that Engagement Letter governs the specific bookkeeping services we provide to you; these Terms govern your use of the software and platform. In the event of a direct conflict between the Engagement Letter and these Terms regarding the scope of bookkeeping services, the Engagement Letter controls.
2. Description of the Service
DrvnOS is an AI-assisted bookkeeping and back-office platform built for trucking owner-operators and small fleets. The Service may include, depending on your plan and what we have provisioned for you:
- A web portal where you can upload receipts, view financial information, and access a trucking-focused knowledge base.
- Monthly bookkeeping and bank/credit-card reconciliation performed in a QuickBooks Online (QBO) company file.
- Provisioning and management of a QuickBooks Online subscription on your behalf through the Intuit ProAdvisor wholesale program.
- AI receipt reading: snap a photo of a receipt and our AI reads and categorizes it. Receipts the AI reads with high confidence are categorized automatically; when the AI is not confident, we ask you to confirm before it is recorded.
- Quarterly estimated tax worksheets and a year-end financial packet prepared as data deliverables for your tax professional to review.
- Integrations with third-party services including Intuit / QuickBooks Online, Stripe, and our AI and hosting providers.
We may modify, add, or remove features of the Service over time. Some features described on our website or in marketing materials may be in development and not yet available. We will not materially reduce the core services you are paying for without notice as described in Section 17.
DrvnOS is a bookkeeping and software service provider only. It is not a certified public accounting (CPA) firm, a law firm, an enrolled agent, a tax preparer, a registered investment adviser, or a financial advisor, and it does not provide tax, legal, accounting attestation, or investment advice. See Sections 12 and 13.
3. Eligibility
To use the Service you must:
- Be at least 18 years old and able to form a legally binding contract.
- Be a business or individual operating a trucking business based in the United States.
- Provide accurate registration and business information.
The Service is intended for U.S.-based owner-operators and small fleets. We do not currently offer the Service outside the United States. We may decline to provide, or may discontinue, the Service to any person or business at our discretion, subject to the termination provisions in Section 15.
4. Accounts & Security
- Account creation. You access the Service through an account tied to your email address (via magic link or email and password). You are responsible for maintaining the confidentiality of access to your email inbox and your account.
- Accurate information. You agree to provide accurate, current, and complete information and to keep it updated.
- Authorized use. You are responsible for all activity that occurs under your account. Do not share your account access with anyone who is not authorized to act for your business.
- Notify us. Notify us promptly at support@drvnos.com if you suspect any unauthorized access to or use of your account.
- Our access. To deliver bookkeeping services, authorized DrvnOS personnel will have access to your financial data and your QuickBooks Online file. We access this data only to provide the Service and as described in Section 10 and our Privacy Policy.
5. Subscription, Billing & Refunds
- Free trial and first payment. Your subscription begins with a 14-day free trial. A card is required, and $0 is charged at signup. Unless you cancel before the trial ends, your subscription converts automatically on day 15 and we charge $99.00 USD setup + $199.00 USD for the first month ($298.00 USD before any applicable tax).
- Monthly subscription. After the trial converts, the Service is billed at $199.00 USD per month ("Subscription Fee"), on a recurring basis on the same day each month. This all-in monthly fee includes the QuickBooks Online subscription we provision for you through the Intuit ProAdvisor wholesale program and all standard services described in Section 2 and in your Engagement Letter. There are no separate QuickBooks or add-on charges for standard service.
- Payment processing. All fees are billed and processed through Stripe, a third-party PCI-DSS-compliant payment processor. By providing a payment method, you authorize us (through Stripe) to charge the setup fee and the recurring Subscription Fee automatically until you cancel. DrvnOS does not store your full card number.
- Automatic renewal. Your subscription automatically renews each month until you cancel it. By subscribing, you consent to recurring automatic charges. Cancel anytime from Profile > Manage billing. Canceling during the free trial prevents the first payment. After conversion, canceling stops future charges at the end of the paid period; service remains available through that period. See Section 15.
- Taxes. Fees are exclusive of any applicable sales, use, or similar taxes, which are your responsibility unless we are legally required to collect them.
- Failed or late payment. If a charge fails, we may retry the charge over the following several days and will notify you. If payment is not brought current within 14 days, we may suspend or pause the Service. You will continue to own your QuickBooks Online data as described in Section 8.
- Price changes. We may change the setup fee or Subscription Fee on at least 30 days' written notice (email is sufficient). If you do not accept a price change, you may cancel before it takes effect.
Refund Policy
The $99 setup fee is refunded in full if you're unhappy with setup and ask within 30 days of the date it was charged (day 15, when your trial converts). Monthly fees already paid are not refunded, and the final partial month is not pro-rated. When you cancel, your subscription remains active through the end of the then-current billing period and is not renewed.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms or any applicable law or regulation.
- Submit false, fraudulent, or misleading financial information, or use the Service to facilitate tax fraud, money laundering, or other illegal activity.
- Attempt to gain unauthorized access to the Service, other customers' data, or our systems; probe, scan, or test the vulnerability of the Service; or circumvent any security or authentication measure.
- Reverse engineer, decompile, or disassemble any part of the Service, except to the extent that restriction is prohibited by law.
- Upload viruses, malware, or other harmful code, or interfere with or disrupt the integrity or performance of the Service.
- Resell, sublicense, or commercially exploit the Service or any part of it without our prior written consent.
- Use the Service to send spam or to harass, abuse, or harm another person.
- Use any automated means to scrape, harvest, or extract data from the Service except through interfaces we expressly provide.
We may investigate and take appropriate action, including suspending or terminating your account, for any violation of this Section.
7. Third-Party Services
The Service relies on and integrates with third-party services, including Intuit / QuickBooks Online, Stripe, Anthropic (AI receipt reading), Resend (email), and our cloud/hosting providers (Lovable Cloud / Supabase) (each a "Third-Party Service").
- Your use of any Third-Party Service is subject to that provider's own terms of service and privacy policy. You are responsible for reviewing and complying with those terms.
- We do not control Third-Party Services and are not responsible for their availability, accuracy, security, acts, or omissions. A Third-Party Service may change, suspend, or discontinue its offering, which may affect the Service.
- We are not liable for any loss or damage arising from your use of, or your reliance on, any Third-Party Service, or from any outage or change in a Third-Party Service.
8. Intuit / QuickBooks Online Terms
Because DrvnOS provisions and manages a QuickBooks Online file on your behalf and may access your QBO data through Intuit's authorized pathways (including, where applicable, OAuth-based API access that you authorize):
- You must comply with Intuit's applicable terms, including the Intuit Terms of Service and any QuickBooks Online end-user terms that apply to your company file.
- DrvnOS's access to your QuickBooks Online data is performed under your authorization — either through the Intuit ProAdvisor wholesale/accountant access pathway or through an OAuth connection that you explicitly grant. You may revoke OAuth authorization at any time through your Intuit account, and you may end the accountant relationship as described in your Engagement Letter; doing so may limit or stop the Service.
- DrvnOS will use your QuickBooks Online data only to provide the Service to you and in accordance with these Terms, our Privacy Policy, and Intuit's developer requirements. DrvnOS does not sell your QuickBooks Online data and does not use it for advertising.
- You own your QuickBooks Online company file and the data inside it. While this engagement is active, the QBO subscription is billed to DrvnOS under the ProAdvisor wholesale arrangement. Upon termination, you may transfer subscription billing to your own Intuit account or request a full export of your data, as described in your Engagement Letter and in Section 15.
- Intuit is a third-party beneficiary of the provisions of these Terms that relate to your QuickBooks Online data, to the extent required by Intuit's developer agreement.
9. Intellectual Property
- Our IP. The Service, including its software, design, text, knowledge base content, workflows, templates, and all related intellectual property, is owned by DrvnOS or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service granted under these Terms, no rights are transferred to you.
- License to you. Subject to these Terms and your payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes during your subscription.
- Feedback. If you give us feedback or suggestions about the Service, we may use them without any obligation to you.
- Restrictions. You may not copy, modify, distribute, sell, or lease any part of the Service, or our intellectual property, except as expressly permitted here.
10. Customer Data & Data Ownership
- You own your data. As between you and DrvnOS, you retain all right, title, and interest in your business and financial data, including transactions, receipts, reports, and your QuickBooks Online file contents ("Customer Data").
- License to us. You grant DrvnOS a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and use Customer Data solely to provide, maintain, secure, and improve the Service for you and as otherwise permitted by these Terms and our Privacy Policy. This license ends when we delete or return your Customer Data following termination, except for backups and records we are required or permitted to retain (Section 15).
- Aggregated / de-identified data. We may create and use aggregated and de-identified data (data that does not identify you or your business) to operate and improve the Service. We will not sell your identifiable Customer Data.
- Accuracy. You are responsible for the accuracy, quality, and legality of Customer Data you provide. We are not responsible for errors that result from inaccurate or incomplete information you give us.
- Data export. You may request an export of your Customer Data as described in Section 15 and your Engagement Letter.
11. Confidentiality
Each party may have access to the other's non-public, confidential information. We will treat your financial and business information as confidential and will not disclose it to anyone outside DrvnOS without your consent, except:
- to subprocessors and Third-Party Services strictly necessary to deliver the Service (for example, Intuit, Stripe, and our hosting provider);
- to your CPA, enrolled agent, or tax professional at your written request;
- as required by law (for example, a valid subpoena, court order, or regulatory request); or
- as otherwise permitted by these Terms or our Privacy Policy.
We use industry-standard safeguards, including access controls, encryption in transit and at rest where applicable, and audit logging. No system is perfectly secure, however, and we cannot guarantee absolute security.
12. Disclaimers
No tax, legal, accounting, or financial advice. DrvnOS is a bookkeeping and software service. DrvnOS and Devin Gregory Thompson are not a CPA, an enrolled agent, an attorney, a registered investment adviser, or a "practitioner" as defined by U.S. Treasury Department Circular 230. Accordingly:
- DrvnOS does not provide tax advice. No DrvnOS deliverable — including quarterly estimated tax worksheets, year-end packets, or any communication from DrvnOS — constitutes tax advice or a covered opinion under Circular 230.
- Quarterly estimated tax calculations are advisory data products prepared for your tax professional to review and verify. They are not a substitute for professional tax analysis, and you must consult your own CPA, EA, or qualified tax professional before filing any return, taking any tax position, making any tax payment, or relying on any DrvnOS deliverable for tax purposes.
- DrvnOS does not provide legal or financial advisory services and cannot represent you before the IRS, any state revenue agency, or any other authority.
- DrvnOS makes no representation that any deduction, credit, or tax treatment reflected in your books is allowable or correct. That determination is made by your tax professional.
"AS-IS" software. EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR YOUR ENGAGEMENT LETTER, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA OR CALCULATION WILL BE COMPLETELY ACCURATE. AI-assisted features may produce errors and require human review.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
To the maximum extent permitted by law:
- No indirect damages. Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, lost data, or reputational harm, even if advised of the possibility.
- Liability cap. DrvnOS's total aggregate liability for any and all claims arising out of or relating to the Service or these Terms is limited to the total fees you paid DrvnOS in the three (3) months immediately preceding the event giving rise to the claim.
- Tax outcomes. DrvnOS is not responsible for your tax positions, tax filings, tax payments, or tax outcomes. You and your tax professional are solely responsible for all returns filed with any taxing authority.
- Customer-supplied information. DrvnOS is not responsible for losses caused by inaccurate or incomplete information you provide.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including natural disasters, internet or utility outages, third-party service failures (including Intuit, Stripe, or our hosting provider), government action, or pandemic.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless DrvnOS, Devin Gregory Thompson, and its owner(s), employees, and contractors from and against any claims, damages, liabilities, losses, and reasonable expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; (c) the inaccuracy or incompleteness of Customer Data you provide; or (d) your use of the Service in a manner not authorized by these Terms.
We will provide reasonable notice of any claim subject to indemnification and may participate in the defense with our own counsel at our expense.
15. Term & Termination
- Term. These Terms apply from the date you first accept them and continue while you use the Service. The Service is month-to-month with no long-term commitment.
- Cancellation by you. You may cancel your subscription at any time in Profile > Manage billing (or by emailing support@drvnos.com). Service and access run to the end of the paid month, and you keep your QuickBooks file. Cancellation stops future renewals; refund treatment is governed by Section 5.
- Suspension or termination by us. We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, fail to pay, or use the Service unlawfully or in a way that risks harm to us, other customers, or third parties.
- Effect of termination. Upon termination, your right to use the Service ends. As described in Section 8, Section 10, and your Engagement Letter, you may transfer your QuickBooks Online subscription to your own Intuit account and/or request a full export of your Customer Data within 30 days of termination. We may retain copies of records as required or permitted by law and professional record-retention practices.
- Survival. Sections 9 (Intellectual Property), 10 (Customer Data, as to ownership), 11 (Confidentiality), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 16 (Governing Law & Dispute Resolution), and any other provisions that by their nature should survive, will survive termination.
16. Governing Law & Dispute Resolution
- Governing law. These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules.
- Informal resolution first. Before filing any formal action, the parties agree to attempt in good faith to resolve any dispute informally for at least 14 days after written notice, and to attempt non-binding mediation with a mutually acceptable mediator.
- Venue. Subject to the informal-resolution step above, the state and federal courts located in Illinois will have exclusive jurisdiction over any dispute arising out of these Terms, and you consent to personal jurisdiction there.
- Attorneys' fees. The prevailing party in any action arising out of these Terms is entitled to recover reasonable attorneys' fees and costs.
17. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice (for example, by email or an in-portal notice) before the change takes effect, and will update the "Last Updated" date above. Your continued use of the Service after a change becomes effective means you accept the updated Terms. If you do not agree to a change, your remedy is to stop using the Service and cancel as described in Section 15.
18. General
- Entire agreement. These Terms, together with the Privacy Policy and any Engagement Letter you have signed, are the entire agreement between you and DrvnOS regarding the Service and supersede prior agreements on this subject.
- Severability. If any provision is held unenforceable, the remaining provisions stay in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. We may provide notices to you by email or through the Service. You may send notices to us at support@drvnos.com.
- Relationship. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.
